Memoranda of Understanding


Memoranda of Understanding (MOU’s) and Letters of Intent (LOI’s) may still be contracts that incur legal obligations, despite these titles. If you intend an MOU or LOI to be non-binding, we recommend that these documents contain the following recommended language.


Recommended language:   “This document is a Memorandum of Understanding and is not intended to create binding or legal obligations on either party.  Additionally, this document shall not create a partnership or joint venture between the parties, and no agency exists or shall be created between the parties.   The specific details of any matter will be set forth in agreements supplemental to this Memorandum."


In addition, you should eliminate any language that would usually have a legally operational effect.  If you have questions as to what this means, please contact the Office of the General Counsel.
